Terms of Service

These Terms of Service ("Terms") govern your use of the BatchSKU website at batchsku.com and the BatchSKU application (the "Service") operated by BatchSKU ("we," "us," or "our"). By creating an account or using the Service you agree to these Terms.

1. The Service

BatchSKU is an AI-powered tool that helps eBay sellers create listings from product photos. You upload photos, our AI generates listing details (title, description, item specifics, suggested price), and you can publish those listings to eBay directly from BatchSKU.

2. Accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You are responsible for keeping your login credentials secure. We are not liable for unauthorized access caused by compromised credentials.
  • Each account belongs to a workspace. Workspace owners can invite members and assign permissions. You are responsible for actions taken by members you invite.

3. Subscriptions & Billing

  • BatchSKU offers paid subscription plans (Starter, Pro, and Enterprise) with monthly or annual billing cycles. Plan details and pricing are listed on our pricing page.
  • New workspaces receive a 7-day free trial with up to 10 listings. A valid payment method is required to start a trial.
  • After the trial, your card will be charged automatically at the start of each billing cycle unless you cancel before the trial ends.
  • Each plan includes a monthly listing credit allowance. Unused credits do not roll over. Additional credit packs may be purchased separately.
  • You can upgrade, downgrade, or cancel your plan at any time from the billing page or Stripe customer portal. Cancellations take effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice. Price changes do not affect your current billing cycle.

4. Referral Program

BatchSKU may offer an affiliate referral program through Rewardful. Participation is subject to Rewardful's terms as well as any program-specific rules we publish. We reserve the right to modify commission rates, disqualify fraudulent referrals, or discontinue the program at any time with reasonable notice.

5. eBay Integration

  • To publish listings you must connect a valid eBay seller account via OAuth. BatchSKU acts on your behalf using the permissions you grant.
  • You are solely responsible for the accuracy of your eBay listings and compliance with eBay's policies. BatchSKU is not a party to any transaction between you and eBay buyers.
  • We are not responsible for eBay API downtime, policy changes, or account restrictions imposed by eBay.
  • You may disconnect your eBay account at any time, which revokes our access.

6. AI-Generated Content

  • Listings are generated by AI based on your photos and your preset settings. AI output is a starting point — you should review and edit listings before publishing.
  • We do not guarantee that AI-generated content is accurate, complete, or free from errors. You are responsible for verifying listing details (condition, price, item specifics) before they go live.
  • You own the content in your listings. We retain a limited license to store and process your content solely to provide the Service.

7. Your Content & Photos

  • You retain ownership of all photos and content you upload. By uploading content you grant us a non-exclusive license to store, process, and transmit it as needed to operate the Service (e.g., sending images to our AI provider for analysis and to eBay for listing creation).
  • You represent that you have the right to upload any content you provide and that it does not violate any third-party rights.

8. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to list prohibited items.
  • Attempt to reverse-engineer, scrape, or interfere with the Service.
  • Share your account credentials or allow unauthorized users to access your workspace.
  • Upload content that is harmful, fraudulent, or infringes on intellectual property rights.
  • Abuse the AI system to generate misleading or deceptive listings.

We may suspend or terminate accounts that violate these rules without prior notice.

9. Limitation of Liability

To the maximum extent permitted by law, BatchSKU is provided "as is" without warranties of any kind. We are not liable for:

  • Lost profits, revenue, or data arising from your use of the Service.
  • Errors in AI-generated listings, including incorrect pricing or item details.
  • Actions taken by eBay on your account (restrictions, suspensions, fee changes).
  • Service interruptions, downtime, or data loss, though we take reasonable steps to prevent these.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold BatchSKU harmless from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your listings, or your violation of these Terms.

11. Termination

  • You may cancel your account at any time. Cancellation stops future billing but does not entitle you to a refund for the current period.
  • We may suspend or terminate your account for violations of these Terms, non-payment, or extended inactivity, with notice where practical.
  • Upon termination, your data will be retained for 30 days to allow for export, then permanently deleted.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Texas.
